Arhaus Trade Program Terms & Conditions
Membership in the Arhaus Trade Program (“ATP”) is contingent upon receipt of a completed application and approved credentials, which include a copy of a completed IRS W-9, listing your Federal Tax Identification Number (EIN or Social Security Number) or a completed IRS W-8 for applications outside the United States.
The ATP is intended for design and real estate professionals. Continued membership in the ATP is contingent upon remaining a licensed business. Approved members will receive an email within 2 business days of approval of their application confirming membership and benefits. No company-wide or group memberships will be granted. If you have your own employees, each designer on your staff must individually apply for membership to the ATP to receive individual commission.
Membership is a privilege and is not transferable. Subject to the terms herein, a Trade ID Number must be presented at the time of purchase, whether it is at a participating Arhaus store or through the Trade Sales team in order to earn a commission under the ATP. Membership is not valid for gift card purchases. Any missing order requests added through the Arhaus Trade Dashboard are determined at the sole discretion of Arhaus.
Misuse of your membership will result in membership termination. "Misuse" includes, without limitation: unauthorized use of Arhaus trademarks or proprietary information; false or disparaging representations concerning Arhaus products, services, or employees; transfer of membership; allowing others to use your Trade ID Number; and submitting false, expired, or misleading information in connection with a membership application or client referral.
You can earn 7% commission on annual delivered sales volume of up to $49,999.00, and 10% commission on annual delivered sales volume over $50,000.00. The ATP program year runs from January – December each year, and resets annually. Commission checks are paid four times per year and are based on delivered sales for each quarter. Commissions shall not be due unless and until the merchandise purchased has been delivered, accepted, and paid for by the referred client. The ATP does not apply toward purchases made at the Loft clearance locations, sales under the Arhaus Contract Division program, or employee sales.
Commission payments are issued on delivered sales as follows: delivered sales from January 1 - March 31 are issued in the month of May; delivered sales from April 1 - June 30 are issued in the month of August; delivered sales from July 1 - September 30 are issued in the month of October; and delivered sales from October 1 - December 31 are issued in the month of February the following year. Reissued payments are subject to a 30 day waiting period. Any returns, exchanges or price adjustments processed after commissions have been paid will be deducted from the following quarter’s commissions. If all required documentation (including IRS W-9 or W-8) is not presented within 90 days from the end of a quarter, commissions will be forfeited. If commissions have been allocated to your Trade account but all required documentation (including IRS W-9 or W-8) has not been received, the commissions will be forfeited if not resolved within 60 days of each quarter close. Commissions will be paid via check or ACH payment and sent to the Company/Primary Contact address or account specified in your profile on the Arhaus Trade Dashboard. You will receive an IRS 1099 annually for any earnings over $600 received during a calendar year. If you request a tax exemption, you must provide Arhaus with a resale certificate for each state where items are being delivered. A resale certificate must be provided with each order.
If an order has been placed before a Trade ID Number has been assigned to you, it will only be added to your sales if the order was placed within 30 days of your application, and the order is unscheduled. It is your responsibility to ensure the Arhaus Design Consultants with whom you or your client interact are aware of your membership in the ATP. If your client does not notify their Design Consultant that you are a member of the ATP, your Trade ID Number may not be entered. It is your responsibility to alert a Design Consultant if a client is coming in without you. Your client need not be present to make a purchase, but you will be required to sign all necessary sale documentation. Your account and order details are available by accessing the Arhaus Trade Dashboard.
Arhaus respects your privacy. When you choose to become an ATP member, Arhaus will collect and use information about your business, some of which may include personal information about you and your employees. For example, we collect your name, phone number, email address, commission information, and any information included in your ATP application and IRS W-9. The information you provide may be shared with our service providers as needed to operate the ATP.
You will receive email communications from us regarding your account, including but not limited to transaction and payment information (“Account Communications”). You may also receive email communications from us about events and promotions (“Marketing Communications”). You may unsubscribe from Marketing Communications by clicking the “unsubscribe” link found in every commercial email we send, or by sending a request to unsubscribe to [email protected]. However, unsubscribing from Account Communications will terminate your membership in the ATP.
In no event will Arhaus be liable for any loss of profits, loss of use, incidental, consequential, indirect, or special damages arising out of your membership in the ATP.
You agree to these Terms & Conditions and attest that you are not affiliated with Arhaus, its parent or affiliates, and nothing herein shall be construed to create in any manner whatsoever any employer-employee, principal-agent, partnership, or joint venture relationship between you and Arhaus, or any of your agents, subcontractors, or employees.
These Terms & Conditions shall be construed and controlled by the laws of the State of Ohio. Any litigation arising out of these Terms and Conditions shall take place in Cleveland, Ohio, and all parties irrevocably consent to jurisdiction of the state and federal courts of Ohio. Arhaus’ liability for any action under the ATP and these Terms & Conditions shall be limited to $10,000.00 costs and fees included.
Arhaus may alter or cancel the ATP or change these Terms & Conditions from time to time, without notice. Arhaus will post changes to the ATP at arhaus.com/trade-services. Any changes to the Terms & Conditions become effective immediately upon being posted, and your continued use of your membership constitutes your agreement to the then-current Terms & Conditions. Arhaus reserves the right to make all membership determinations, including the eligibility of current or former affiliates of Arhaus, at its sole and absolute discretion.
By participating in the ATP, you agree to make required disclosures, if any, to your clients and/or brokers.
